The exact placement of the Ad on the postcard is determined by the Publisher; however, the Publisher will make every effort to provide fair and visible placement. The Advertiser agrees to pay the fee mentioned above in full for the Ad space on the postcard.
Payment Due Date: Full payment is due upon signing.
Payment Methods Accepted: Stripe / Paypal / E-transfer / Cash.
1.3 Design & Materials
The Advertiser will provide any required logos, images, or text in a high-resolution format acceptable to the Publisher. If the Publisher is responsible for designing the Ad, the Advertiser will provide all necessary content and approve the final design before print.
2. TIMELINE & DISTRIBUTION
2.1 Design & Approval Deadline
The Advertiser must provide all content and approve the final design within 7 days of signing the agreement to ensure timely printing.
2.2 Mailing Date
The Publisher will mail the postcard within 4 weeks of signing the contract. This date is subject to change due to printing schedules, postage delays, or other factors beyond the Publisher’s control.
3. PUBLISHER RESPONSIBILITIES
3.1 Printing & Fulfillment
The Publisher will oversee all printing, packaging, and mailing of the postcards.
3.2 Quality Standards
The Publisher will make every reasonable effort to ensure the postcard and the Advertiser’s Ad are printed with professional quality. Minor variances in color, alignment, or print quality may occur due to printing processes.
3.3 Communication
The Publisher will keep the Advertiser informed of major milestones, including design completion and mailing dates.
4. ADVERTISER RESPONSIBILITIES
4.1 Content Provision
The Advertiser is responsible for providing accurate and legally compliant content. This includes any logo, images, claims, offers, or text used in the Ad.
4.2 Proof Approval
The Advertiser must review and approve the final Ad design before printing. Delays in approval may affect mailing deadlines.
4.3 Compliance
The Advertiser represents and warrants that the Ad content does not infringe on any third-party rights and complies with all applicable laws and regulations.
5. CANCELLATIONS & REFUNDS
5.1 Cancellation by Advertiser
If the Advertiser cancels after the design process has begun but before printing, the Advertiser may be responsible for a cancellation fee of $100 to cover administrative and design costs. If canceled after printing, no refund will be provided.
5.2 Cancellation by Publisher
The Publisher reserves the right to cancel the Advertiser’s slot if payments or required materials are not received on time. In such cases, any partial payments made may be forfeited at the Publisher’s discretion.
6. LIMITATION OF LIABILITY
6.1 No Guarantee of Results
The Advertiser acknowledges that the Publisher does not guarantee any specific response rate or ROI from the postcard.
6.2 Indemnification
The Advertiser agrees to indemnify and hold the Publisher harmless against any and all legal claims, costs, and damages resulting from the Advertiser’s Ad content or business activities.
7. GENERAL PROVISIONS
7.1 Entire Agreement
This Agreement constitutes the entire understanding between the Parties and supersedes any prior agreements or understandings.
7.2 Modification
Any modifications to this Agreement must be in writing and signed by both Parties.
7.3 Governing Law
This Agreement shall be governed by the laws of Ontario without regard to its conflict of law provisions.
7.4 Severability
If any provision of this Agreement is found to be unenforceable, the remaining provisions will remain in full force and effect.
7.5 Execution
This Agreement may be executed electronically or via counterparts, each of which shall be deemed an original.
8. COMPLETION OF CONTRACT
8.1 Fulfillment of Obligations
This Agreement shall be considered fulfilled upon the successful printing and mailing of the 9x12” postcard to the agreed-upon number of households.
8.2 Final Reporting
The Publisher will provide confirmation once the postcards have been sent out, including proof of mailing.
8.3 No Ongoing Commitment
This Agreement does not establish any ongoing advertising commitment between the Advertiser and Publisher. The Advertiser may choose to participate in future postcard campaigns under a new agreement.
9.4 Post-Contract Communication
The Publisher may contact the Advertiser to request feedback on the campaign's effectiveness for internal evaluation and future improvements.
